Intellectual Property

Upon full payment, you own the custom automation solutions we create specifically for your use. This includes scripts, configurations, and documentation developed for your project.

We retain rights to our general methodologies, frameworks, and any pre-existing intellectual property used in delivering your solution.

You grant us permission to use anonymized examples of your project in our portfolio and marketing materials, unless otherwise agreed.

Confidentiality

We understand that your business processes and data are confidential. We commit to maintaining strict confidentiality of all information shared with us.

We will not disclose, use, or share your confidential information except as necessary to provide our services or as required by law.

This confidentiality obligation continues indefinitely, even after project completion or termination of our relationship.

Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. We will correct any defects in our work at no additional charge within 30 days of delivery.

However, we cannot guarantee that our solutions will be error-free or will meet all your requirements. We recommend thorough testing before full implementation.

Our services are provided 'as is' without other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

Our total liability for any claims related to our services is limited to two (2) times the amount you paid for the specific service that gave rise to the claim, or $10,000, whichever is less.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, business interruption, loss of business opportunities, or any other economic loss, regardless of the cause of action.

Client assumes all risk for implementation, testing, and use of delivered solutions in their environment. We are not responsible for any damages resulting from client's failure to test, backup data, or follow provided instructions.

These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

Termination

Either party may terminate a project with written notice. You will pay for work completed up to the termination date.

We reserve the right to terminate services immediately if you breach these terms or engage in prohibited activities.

Upon termination, we will deliver any completed work and return or destroy your confidential information as requested.

Governing Law and Dispute Resolution

These terms are governed by the laws of the State of [YOUR_STATE], United States, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

You retain ownership of all data you provide to us. We process your data solely for the purpose of delivering our services and will not use it for any other purpose without your explicit consent.

You are responsible for maintaining adequate backups of all data before we begin work. We strongly recommend testing all solutions in a non-production environment before full implementation.

We will securely destroy or return all your data within 30 days of project completion, unless you request otherwise in writing. We maintain reasonable security measures but cannot guarantee absolute security.

In the event of a data breach affecting your information, we will notify you within 72 hours of discovery and take reasonable steps to mitigate any potential harm.

Service Limitations and Disclaimers

Our services are provided 'as-is' without warranties of any kind. We do not guarantee that our solutions will be error-free, compatible with all systems, or meet all your requirements.

You are responsible for testing all delivered solutions in your environment before implementation. We are not liable for any issues arising from your failure to test or follow provided instructions.

We do not provide support for third-party software, systems, or services that may be affected by our solutions. Any issues with third-party integrations are your responsibility.

Our services are designed for standard business environments. Complex enterprise systems, legacy software, or highly customized environments may require additional work at additional cost.
